These terms apply to the services and training we provide, alongside any written proposal or agreement we sign with you.

1. About these terms

These terms and conditions govern your use of the markdev.org website and the services provided by MarkDev Software House ("MarkDev", "we", "us" or "our"). By engaging us for a project, enrolling in a training programme or using this website, you agree to these terms.

Where a written proposal, statement of work or signed agreement exists between us and you, that document takes priority over these terms if there is any conflict.

2. Who we are

MarkDev Software House is a software house and digital agency based in Pakistan, providing web development, e-commerce, web application development, digital marketing, graphic design and one-to-one IT training.

3. Services we provide

Our services include, but are not limited to:

  • website design and development, including WordPress and custom builds;
  • e-commerce store setup, customisation and optimisation, including Shopify and WooCommerce;
  • custom web applications, dashboards, portals and integrations;
  • search engine optimisation, paid advertising, analytics and reporting;
  • logo design, brand identity and marketing creative; and
  • one-to-one and small-batch IT training programmes.

The exact scope of any engagement is set out in the written quotation or proposal we provide for your project.

4. Quotations and proposals

Quotations are based on the information you give us and on the scope described in the proposal. A quotation is valid for 30 days from the date it is issued unless stated otherwise.

If the information you provide turns out to be incomplete or inaccurate, or if the requirements change, the quotation may need to be revised. We will tell you before any additional cost is incurred.

5. Fees, deposits and payment

  • Projects normally begin with a deposit, with the balance payable at agreed milestones or on completion.
  • Training fees are payable in advance for the agreed block of sessions unless we agree otherwise in writing.
  • Invoices are due within the period stated on the invoice. We may pause work on an account that is overdue, and we will tell you before doing so.
  • Late payments may attract a reasonable administrative charge where permitted by law.
  • Amounts already paid for completed work are non-refundable, except where these terms or applicable law provide otherwise.
  • Taxes, bank charges and currency conversion costs are your responsibility unless we agree otherwise.

6. Client responsibilities

To deliver a project on time, we need you to:

  • provide content, images, logos, product data and other materials in the formats we request;
  • respond to questions and review milestones within reasonable timeframes;
  • provide access to hosting, domains, analytics, ad accounts or third-party systems where the project requires it;
  • confirm that you have the right to use any material you supply to us; and
  • ensure that the information you give us is accurate and lawful.

Where these responsibilities are not met, timelines may be extended and additional costs may apply.

7. Revisions and scope changes

Each proposal states how many rounds of revisions are included at each stage. Revisions within that allowance are included in the quoted price.

Requests that go beyond the agreed scope — new pages, new features, a change of direction, or a new platform — are treated as a change request. We will provide the cost and timeline impact before starting that work, and only proceed once you approve it.

8. Timelines and delays

Timelines in a proposal are estimates based on the information available at the time. We work to them in good faith, but they depend on timely feedback, content delivery and third-party systems we do not control.

Delays caused by missing content, unanswered feedback or third-party outages may extend the schedule. We will notify you when a delay occurs and confirm a revised date.

9. Third-party costs

Some projects require third-party services that are not included in our fees, such as:

  • domain names, hosting and SSL certificates;
  • Shopify, CMS or platform subscriptions;
  • premium plugins, themes, fonts, stock images or software licences;
  • advertising spend on Meta, Google or other platforms; and
  • payment gateway or transaction fees.

These are paid directly by you, unless we agree in writing to purchase them on your behalf and recharge them. Subscription renewals remain your responsibility.

10. Advertising and marketing campaigns

We plan and manage campaigns with care, but advertising platforms set their own rules, review processes and pricing, and their algorithms change frequently. We cannot guarantee specific results, rankings, traffic volumes, lead quality or return on ad spend.

Ad spend is paid directly to the platform and is separate from our management fee. Creative and campaign material should comply with the policies of the relevant platform, and you are responsible for the accuracy of claims made in your advertising.

11. Intellectual property and ownership

  • Once a project is paid for in full, you own the final deliverables we created specifically for you, including designs, page designs and custom code.
  • Until payment is complete in full, MarkDev retains ownership of the deliverables and grants you a licence to use them only for review and testing.
  • We retain ownership of our own pre-existing tools, frameworks, libraries, components and methods, and grant you a perpetual licence to use them as part of the delivered work.
  • Third-party assets such as fonts, images, plugins or platform themes remain subject to their own licences.
  • Unless you ask us in writing not to, we may show the finished work in our portfolio and on our social channels.

12. Hosting, domains and renewals

Where we set up hosting or a domain on your behalf, we do so in your name wherever possible. You remain responsible for renewing domains, hosting plans, licences and subscriptions, and for the consequences of letting them expire. If we manage renewals for you, this will be stated in the proposal.

13. Training terms

  • Training is delivered one-to-one or in small batches, either online or at a location we agree.
  • Demo classes are offered free of charge and carry no obligation to enrol.
  • Fees, session counts and schedules are confirmed in writing before enrolment. Fees are payable in advance unless agreed otherwise.
  • Sessions that you reschedule with at least 24 hours' notice can be moved to another slot. Sessions missed without notice may be counted as delivered.
  • Session recordings or materials we provide are for your personal learning and may not be redistributed, resold or published.
  • We expect respectful conduct in sessions. We may end a training arrangement, with a refund for undelivered sessions, where behaviour is abusive or disruptive.
  • Where training is arranged for someone under 18, a parent or guardian must make the booking and provide consent.
  • Training is educational. We do not guarantee employment, freelance income, platform approval or any specific financial result.

14. Confidentiality

Each of us may receive confidential information from the other, such as business plans, pricing, customer data or technical details. We will each keep that information confidential and use it only for the purpose of the engagement. This does not apply to information that is already public, that we already held, or that we are required by law to disclose.

15. Warranties and disclaimers

We provide our services with reasonable skill and care, and we will correct defects in our own work that are reported within 30 days of delivery, provided the scope has not been altered by others.

Beyond that, and to the extent permitted by law, our services and website content are provided without additional warranties of any kind. We do not warrant that a website, application or campaign will be uninterrupted, error-free, secure against every threat, or compatible with future versions of third-party platforms.

16. Limitation of liability

To the extent permitted by law:

  • we are not liable for indirect, incidental or consequential losses, including lost profits, lost revenue, lost data or loss of goodwill;
  • our total liability arising from an engagement is limited to the total fees actually paid to us for that engagement; and
  • we are not liable for failures caused by third-party platforms, hosting providers, payment gateways, advertising platforms, or changes made by you or another party to the delivered work.

Nothing in these terms limits liability that cannot be limited under applicable law.

17. Termination

Either party may end an engagement in writing. Where an engagement ends:

  • you remain responsible for paying for work completed up to the date of termination;
  • we will hand over completed work and any agreed materials once outstanding amounts are settled; and
  • we may keep a copy of project records where we are required to for legal, tax or accounting purposes.

18. Force majeure

We are not liable for delays or failures caused by events outside our reasonable control, including power outages, internet or hosting failures, platform outages, natural disasters, civil unrest or government action. We will tell you if such an event affects your project and agree a revised schedule where possible.

19. Governing law and disputes

These terms are governed by the laws of Pakistan. If a dispute arises, we ask that you contact us first so we can try to resolve it directly. If that is not possible, the dispute will be handled by the competent courts of Pakistan, unless a mandatory consumer protection law in your country gives you the right to bring a claim locally.

20. Changes to these terms

We may update these terms from time to time to reflect changes in our services or in the law. The version published on this page, with the "last updated" date shown at the top, is the current version. Changes apply to engagements started after the update, unless we agree otherwise in writing.
